These Terms and Conditions ("Terms") govern your access to and use of the CADLIONS website, operated by Cadlions LLC ("CADLIONS", "we", "us", "our"), and the engineering, drafting, detailing and related services we provide. By using this website or engaging our services, you agree to these Terms. If you do not agree, do not use the website or our services.
CADLIONS provides architectural, structural, civil and MEP design and drafting, steel and rebar detailing, PEMB design, CAD/BIM, connection design, and related professional services. The specific scope, deliverables, fees and schedule for any engagement are defined in the written proposal, quote or agreement for that project (the "Project Agreement"). If anything in a signed Project Agreement conflicts with these Terms, the Project Agreement controls for that project.
The content on this website, including text, graphics, images, logos and layout, is owned by or licensed to CADLIONS and is provided for general information only. It does not constitute engineering advice, a proposal, or a binding offer for any specific project, and should not be relied on as such. You agree not to copy, scrape, republish or use the website or its content unlawfully, and not to attempt to disrupt or gain unauthorized access to it. The website is provided on an "as is" and "as available" basis.
Where an engagement includes engineering calculations or Professional Engineer (PE) stamping, that work is performed and sealed by licensed engineers in accordance with the requirements of the applicable jurisdiction. It is the client's responsibility to identify the jurisdiction, code edition and any local amendments that apply to the project before work begins. Deliverables are prepared to the standards and scope agreed in writing; use of deliverables outside that agreed scope, project or jurisdiction is at the client's own risk.
We prepare deliverables based on the information, drawings, surveys, standards and instructions provided to us, and we are entitled to rely on their accuracy and completeness. The client and its contractors remain responsible for verifying field dimensions and existing conditions, for the means, methods, sequences and safety of construction and fabrication, and for the work of other parties. CADLIONS does not provide construction supervision, site safety or quality control of built work unless expressly engaged to do so. Electronic files are provided for convenience only; where documents are signed and sealed, the signed and sealed documents govern, and any reuse, modification or conversion of electronic files by others is at their sole risk and without liability to CADLIONS.
You agree to provide accurate and complete information, drawings, specifications, standards and approvals needed for us to perform the services, to designate a point of contact with authority to make decisions, and to review deliverables promptly. Delays, errors or additional costs caused by incomplete, inaccurate or late information, or by delayed approvals, are not our responsibility.
Upon full payment for a project, the final deliverables prepared specifically for that project may be used by the client for that project. CADLIONS retains ownership of its own tools, templates, standard details, calculation methods, know-how, software and any pre-existing materials, and may reuse the general skills and experience gained. Deliverables are intended solely for the client's use on the specific project for which they were prepared; they may not be reused on other projects, resold, or relied upon by third parties without our prior written consent.
We treat your drawings, project information, client lists and pricing as confidential and work under a non-disclosure agreement as standard. We do not resell your information or compete for your customers. See our Privacy Policy for how we handle personal and project data.
Fees are set out in the applicable Project Agreement and may be structured as a fixed price per project, hourly, or a dedicated-team monthly rate. Unless stated otherwise, invoices are due per the terms on the invoice. We may charge interest on overdue amounts to the extent permitted by law, and may suspend work or withhold deliverables while an account is past due.
Turnaround times are planned around the agreed submittal or delivery date. Revisions within the agreed scope are included; changes that expand the scope may adjust the fee and schedule and will be communicated before we proceed.
We perform our services with the reasonable skill and care ordinarily exercised by professionals providing similar services under similar conditions. This is the only warranty we make. To the maximum extent permitted by law, all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, are disclaimed for both the services and this website.
To the maximum extent permitted by law, CADLIONS is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, delay, or loss of use, arising out of the services or this website, even if advised of the possibility. Our total aggregate liability for any engagement is limited to the amount set out in the applicable Project Agreement or, if none is stated, to the fees paid to us for that engagement. Any claim must be brought within one year of the event giving rise to it, unless a longer period is required by law. We maintain professional liability (errors & omissions) insurance; details are available on request.
To the extent permitted by law, the client agrees to defend, indemnify and hold harmless CADLIONS and its personnel from claims, damages and costs (including reasonable legal fees) arising out of information the client supplied, use of deliverables outside the agreed scope, project or jurisdiction, unauthorized reuse or modification of deliverables or electronic files, or the client's breach of these Terms, except to the extent caused by our own negligence or willful misconduct.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, utility or network outages, labor disruptions, acts of government, or other force-majeure events.
These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-laws principles. The parties will first attempt in good faith to resolve any dispute informally. Any dispute that cannot be resolved will be subject to the courts located in Tennessee, unless a Project Agreement provides otherwise.
These Terms together with the applicable Project Agreement are the entire agreement between the parties on their subject matter and supersede prior discussions. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. You may not assign your rights or obligations without our written consent. These Terms do not create any third-party beneficiary rights.
We may update these Terms from time to time. The current version is always posted on this page with its effective date. Continued use of the website or our services after changes take effect constitutes acceptance of the updated Terms.
